Mumbai: Tata Chemicals Limited has announced that its wholly owned subsidiary, Tata Chemicals North America Inc. (TCNA), has been declared the successful bidder in the Chapter 11 bankruptcy proceedings of Searles Valley Minerals Inc. (SVM), USA.

Under the transaction, TCNA will acquire North American soda ash customer contracts covering more than 500,000 metric tonnes, with supplies scheduled from September 2026 through December 2028. The contracts are expected to generate revenue of more than USD 110 million during the period.

The acquisition is expected to strengthen TCNA’s position in the North American soda ash market by expanding its domestic customer base and deepening long-term customer relationships.

According to Tata Chemicals, the contracts will provide better visibility of demand and support customer retention while contributing to sustainable value creation.

TCNA has entered into an Assignment and Assumption Agreement with Searles Valley Minerals for the acquisition of selected soda ash customer contracts and related commercial rights.

The transaction has been approved by the United States Bankruptcy Court for the District of Delaware. TCNA will pay USD 21.16 million in cash consideration, with the transaction remaining subject to customary closing conditions under the agreement.

The acquired contracts are expected to secure more than 500,000 metric tonnes of soda ash demand through December 2028.

R. Mukundan, CEO and Managing Director of Tata Chemicals Limited, said the transaction will strengthen the company’s presence in the North American soda ash market and expand its customer base.

He added that the contracts will improve demand visibility, strengthen long-term customer relationships and support the company’s strategy of profitable growth and sustainable value creation.
